
Biography
William J. Hagan has practiced law for over 30 years.
Bill is Of Counsel to the Firm. His experience spans a broad spectrum of areas of the law, in both litigation and transactional matters. He has litigated cases before federal and state courts in New York and Connecticut, as well as before state administrative agencies and municipal boards. His litigation experience includes corporate, commercial, insurance, real estate, bankruptcy, administrative law, eminent domain, personal injury and criminal matters.
Bill has worked as Of Counsel with MBK&K for many years and has worked with the Firm on various commercial litigation, insurance coverage and general litigation matters in both New York and Connecticut.
Bill has also represented issuers in public and private securities offerings at a Wall Street law firm, where he also litigated corporate, commercial, banking and broker-dealer cases. His litigation work included hostile takeover defense, fraud and conversion claims. He also represented the F.D.I.C as receiver for the failed Franklin National Bank.
As in-house corporate counsel to a financial services firm, Bill litigated and oversaw outside counsel in conducting litigation around the country in factoring and purchase order funding matters. He has testified as an expert witness concerning accounts receivable factoring transactions and Article 9 of the Uniform Commercial Code. He developed language for a series of forms designed to preclude commonly asserted defenses relating to lack of consideration and limitation on the amount recoverable by the factor.
Bill successfully defended a Motion for Temporary Order of Mandamus seeking to take control of the Independent Party of Connecticut from its duly elected officers.
Bill's real estate transactional experience ranges from representing foreign diplomats as trustees in a condop conversion of a city block in Manhattan to representing first time homebuyers navigating the nuances of contract, title and financing issues. He has represented entities owning medical office buildings, negotiating leases with individual medical practices and handling financing transactions. Bill has extensive experience representing car dealerships with acquisitions, real estate and land use issues, enterprise finance and human resources issues.
Bill's entertainment law practice includes film and voice talent representation and recording studio litigation.
Serving multiple terms as municipal attorney, Bill provided legal advice to municipal officials across the spectrum of the functions of town government. His service as chief legal officer of the municipality included advice to elected officials concerning the mechanics and execution of revision of the town’s charter and the substitution of construction managers on a school renovation project.
